USE OF THIS WEBSITE CREATES A LEGALLY BINDING AGREEMENT BETWEEN:

“You”, which means yourself as user of the Website, and (if applicable) the legal entity you represent (“Employer”) if you are using the Website in the course of employment or engagement by that entity; and

THE AGREEMENT GOVERNS: All your access to information provided by TLP, information you provide to TLP and information, products and services available from TLP via this Website, and also all materials made available from time to time on the Website (“Content”) whether viewed on screen or downloaded to another computer.

THE AGREEMENT IS COVERNED BY: English Law and you and TLP irrevocably submit to the exclusive jurisdiction of the English Courts.

The Content of this Webiste may be restricted by law in certain countries. It is Your responsibility to determine what those restrictions are and to observe them.

Basis of use

This Agreement provides you with a non-exclusive licence to access the Website. This licence shall include all Content available to you on this Website and all other services available to you via the Website from time to time (“Services”) subject to any other conditions that expressly apply to the use of specific Content or Services. TLP has the right to revoke this licence at any time and to remove Content or Services from the scope of the licence without notice.

You agree not to use the Services in any way to either directly or indirectly prejudice the interests of TLP, and/or the Service in any way.

It shall be your responsibility to install and obtain licences for any software required to use the Website and for you to ensure that software is operating properly at all times. Title and Copyright

TLP or its licensors are the owners of all Intellectual Property Rights (as defined below) in relation to this Website and its Content and, except to the extent permitted by the licence granted under this Agreement, you may not copy, download, publish, distribute or otherwise disseminate (including by any means of electronic dissemination) the Content in any way without the prior written consent of TLP.

In relation to any information or materials which you submit to TLP using this Website, you grant to TLP a world-wide royalty-free perpetual licence of the intellectual property rights in such information or materials for and consistent with the purposes disclosed to you including, without limitation, the copying, transmission, distribution and publication thereof, unless restricted by applicable law.

It is the responsibility of you and your Employer to ensure that all of your organisation’s relevant employees and agents are advised that the Services may contain confidential information of TLP and that all Intellectual Property Rights in such information vest in and are the property of TLP and/or its licensors as the case may be, and you will use all reasonable endeavours to ensure that such employees and agents comply with all the terms and conditions of this Agreement and this clause in particular.

You hereby agree to indemnify and keep TLP fully indemnified for any claim, loss, harm, damages or costs which arise as a result of the breach of this provision (entitled “Title and Copyright”) by you.

For the purposes of clarification “Intellectual Property Rights” shall mean: patents, trademarks, design rights and copyright, whether registered or not, and anything related thereto or similar from time to time; information relating to TLP its method of operation; and any information provided to TLP by the Services or pursuant to its operation.

Warranties and Obligations

TLP shall endeavour to perform its obligations under these terms and conditions with reasonable care and skill but accepts no liability for the accuracy or completeness of any information provided to you via this Website.

You warrant that you have the appropriate authority from your Employer to use the Services on this Website.

Modifications and Reservations

TLP reserves the right to make improvements, substitutions, modifications or enhancements to, or withdraw any part or all of the Content or Services at any time without notice.

Other than expressly stated in this agreement (to the extend permitted by law) tlp provides no warranty representation term conditions or undertaking (express or implied statutory or otherwise) in relation to this website or its content.

Indemnity
